1. Introduction to HKFRS 1

HKFRS 1 *First-time Adoption of Hong Kong Financial Reporting Standards* is a critical standard that provides guidance for entities transitioning to HKFRS for the first time. The standard ensures that an entity's first HKFRS financial statements contain high-quality information that:

  • Is transparent for users and comparable over all periods presented
  • Provides a suitable starting point for accounting under HKFRS
  • Can be generated at a cost that does not exceed the benefits
  • 1.1 Objective

    The primary objective of HKFRS 1 is to ensure that an entity's first HKFRS financial statements, and its interim financial reports for part of the period covered by those financial statements, contain high-quality information that:

    (a) Is transparent for users and comparable over all periods presented

    (b) Provides a suitable starting point for accounting in accordance with HKFRS

    (c) Can be generated at a cost that does not exceed the benefits to users

    1.2 Scope

    HKFRS 1 applies to an entity that presents its first HKFRS financial statements. An entity's first HKFRS financial statements are the first annual financial statements in which the entity adopts HKFRS, by an explicit and unreserved statement of compliance with HKFRS.

    2.1 Key Terms

    2.2 Important Dates

    Date of transition to HKFRS: This is the beginning of the earliest period for which the entity presents full comparative information under HKFRS in its first HKFRS financial statements.

    Reporting date: The end of the latest period covered by the first HKFRS financial statements.

    If an entity's first HKFRS financial statements are for the year ended 31 December 2025, and it presents one year of comparative information:

  • Reporting date: 31 December 2025
  • Date of transition: 1 January 2024 (beginning of comparative period)

    3. Recognition and Measurement

    3.1 The Opening HKFRS Statement of Financial Position

    An entity shall prepare and present an opening HKFRS statement of financial position at the date of transition to HKFRS. This is the starting point for its accounting under HKFRS.

    Requirements:

  • Recognize all assets and liabilities whose recognition is required by HKFRS
  • Not recognize items as assets or liabilities if HKFRS does not permit such recognition
  • Reclassify items that were recognized under previous GAAP as one type of asset, liability or component of equity, but are a different type under HKFRS
  • Apply HKFRS in measuring all recognized assets and liabilities
  • 3.2 Accounting Policies

    An entity shall use the same accounting policies in its opening HKFRS statement of financial position and throughout all periods presented in its first HKFRS financial statements. These policies shall comply with each HKFRS effective at the end of its first HKFRS reporting period.

    Critical Rule: The entity shall apply the HKFRS effective at the end of its first HKFRS reporting period retrospectively, except as specified in paragraphs 13-19 (mandatory exceptions) and Appendix B (optional exemptions).

    3.3 Retrospective Application

    Except for the mandatory exceptions and optional exemptions, an entity shall:

  • Recognize all assets and liabilities as required by HKFRS
  • Derecognize items that do not qualify for recognition under HKFRS
  • Reclassify items in accordance with HKFRS
  • Apply HKFRS in measuring all recognized assets and liabilities

    4. Mandatory Exceptions to Retrospective Application

    HKFRS 1 contains mandatory exceptions to the retrospective application of other HKFRS. These exceptions apply to:

    4.1 Estimates

    Exception: An entity shall not use hindsight in applying HKFRS estimates. Estimates at the date of transition to HKFRS shall be consistent with estimates made for the same date under previous GAAP, unless there is objective evidence that those estimates were in error.

    An entity shall apply hedge accounting prospectively from the date of transition to HKFRS. Hedge relationships that were designated under previous GAAP may be carried forward if they meet the conditions for hedge accounting under HKFRS 9 at the date of transition.

    4.4 Non-controlling Interests

    HKFRS 10 *Consolidated Financial Statements* and HKAS 27 *Separate Financial Statements* requirements for non-controlling interests shall be applied prospectively from the date of transition to HKFRS.

    4.5 Classification and Measurement of Financial Instruments

    The requirements for classification and measurement of financial instruments shall be applied retrospectively, subject to specific transitional provisions.

    4.6 Embedded Derivatives

    An entity shall assess whether an embedded derivative is required to be separated from the host contract on the basis of conditions existing at the later of:

  • The date the entity first became a party to the contract
  • The date a reassessment is required
  • 4.7 Government Loans

    Government loans with a below-market rate of interest shall be recognized and measured in accordance with HKFRS 9 retrospectively, except that a first-time adopter may use the previous GAAP carrying amount at the date of transition as the deemed cost.

    5. Optional Exemptions (Appendix B)

    HKFRS 1 provides optional exemptions from the general requirement to apply HKFRS retrospectively. An entity may elect to use one or more of these exemptions.

    5.1 Business Combinations

    Exemption: A first-time adopter may elect not to apply HKFRS 3 *Business Combinations* retrospectively to business combinations that occurred before the date of transition to HKFRS.

    Consequences of Election:

  • The same classification (acquisition or uniting of interests) as under previous GAAP
  • The carrying amount of goodwill in the opening HKFRS statement of financial position is the carrying amount under previous GAAP, subject to impairment testing
  • The carrying amount of goodwill is adjusted for any amortization that would not be permitted under HKFRS
  • The entity shall test goodwill for impairment at the date of transition
  • 5.2 Share-based Payment Transactions

    A first-time adopter is encouraged, but not required, to apply HKFRS 2 *Share-based Payment* to equity instruments that were granted on or before 7 November 2002.

    5.3 Insurance Contracts

    A first-time adopter may apply the transitional provisions in HKFRS 17 *Insurance Contracts*.

    5.4 Deemed Cost

    An entity may elect to measure an item of property, plant and equipment at the date of transition at its fair value and use that fair value as its deemed cost at that date.

  • Use a previous GAAP revaluation as deemed cost
  • Use deemed cost for oil and gas assets
  • Use deemed cost for operations subject to rate regulation
  • 5.5 Leases

    A first-time adopter may apply the transitional provisions in HKFRS 16 *Leases*.

    5.6 Cumulative Translation Differences

    A first-time adopter may elect to reset cumulative translation differences to zero at the date of transition.

    5.7 Investments in Subsidiaries, Joint Ventures and Associates

    When preparing separate financial statements, an entity may elect to measure its investments in subsidiaries, joint ventures and associates at:

  • Cost
  • Fair value
  • Previous GAAP carrying amount as deemed cost
  • 5.8 Assets and Liabilities of Subsidiaries, Associates and Joint Ventures

    If a parent becomes a first-time adopter later than its subsidiary, the subsidiary shall measure its assets and liabilities at either:

  • The carrying amounts that would be included in the parent's consolidated financial statements, based on the parent's date of transition
  • The carrying amounts required by the rest of HKFRS, based on the subsidiary's own date of transition
  • 5.9 Designation of Financial Instruments

    An entity may designate a financial asset as at fair value through profit or loss or a financial liability as at fair value through profit or loss on the basis of facts and circumstances at the date of transition.

    5.10 Fair Value Measurement of Financial Assets or Financial Liabilities at Initial Recognition

    An entity may apply the requirements for fair value measurement at initial recognition prospectively to transactions entered into on or after the date of transition.

    5.11 Decommissioning Liabilities Included in the Cost of Property, Plant and Equipment

    An entity may elect to measure the decommissioning liability at the date of transition and recognize the corresponding adjustment to retained earnings.

    5.12 Financial Assets or Intangible Assets Accounted for in Accordance with HK(IFRIC) 12

    A first-time adopter may apply the transitional provisions in HK(IFRIC) 12 *Service Concession Arrangements*.

    5.13 Borrowing Costs

    An entity may elect to apply HKAS 23 *Borrowing Costs* from a date earlier than the date of transition.

    5.14 Extractive Activities

    A first-time adopter may use the previous GAAP carrying amount of exploration and evaluation assets as deemed cost.

    5.15 Arrangements Containing a Lease

    An entity may assess whether an arrangement contains a lease on the basis of facts and circumstances existing at the date of transition.

    5.16 Severe Hyperinflation

    If an entity has a functional currency that was subject to severe hyperinflation, it may elect to measure assets and liabilities at fair value and use that as deemed cost.

    5.17 Joint Arrangements

    A first-time adopter may apply the transitional provisions in HKFRS 11 *Joint Arrangements*.

    5.18 Stripping Costs in the Production Phase of a Surface Mine

    An entity may apply the transitional provisions in HK(IFRIC) 20 *Stripping Costs in the Production Phase of a Surface Mine*.

    5.19 Designation of Credit Exposures at Fair Value Through Profit or Loss

    An entity may designate credit exposures at fair value through profit or loss on the basis of facts and circumstances at the date of transition.

    6. Presentation and Disclosure

    6.1 Comparative Information

    An entity's first HKFRS financial statements shall include at least:

  • Three statements of financial position
  • Two statements of comprehensive income
  • Two separate statements of profit or loss (if presented)
  • Two statements of cash flows
  • Two statements of changes in equity
  • Related notes, including comparative information
  • 6.2 Explanation of Transition

    An entity shall explain how the transition from previous GAAP to HKFRS affected its reported financial position, financial performance and cash flows.

    6.3 Reconciliations Required

    An entity shall present reconciliations of:

  • Equity reported under previous GAAP to equity under HKFRS at:
  • The date of transition
  • The end of the last period presented under previous GAAP
  • Total comprehensive income under previous GAAP to total comprehensive income under HKFRS for the last period presented under previous GAAP
  • 6.4 Designation of Financial Instruments

    An entity shall disclose the fair value at the date of transition of financial assets and financial liabilities designated at fair value through profit or loss, and their classification and carrying amount under previous GAAP.

    6.5 Use of Fair Value as Deemed Cost

    If an entity uses fair value as deemed cost, it shall disclose:

  • The aggregate of fair values
  • The aggregate adjustment to carrying amounts under previous GAAP
  • 6.6 Interim Financial Reports

    If an entity presents interim financial reports under HKAS 34 for part of the period covered by its first HKFRS financial statements, it shall provide reconciliations similar to those required for annual financial statements.

    7. Effective Date and Transition

    7.1 Effective Date

    HKFRS 1 was originally issued in 2003 and has been amended several times. The current version is effective for annual periods beginning on or after 1 July 2009, with earlier application permitted.

    7.2 Transitional Provisions

    An entity shall apply HKFRS 1 for annual periods beginning on or after a specified date. If an entity applies HKFRS 1 for an earlier period, it shall disclose that fact.

    8.1 HKAS 8 *Accounting Policies, Changes in Accounting Estimates and Errors*

    HKAS 8 provides guidance on changes in accounting policies. However, HKFRS 1 takes precedence for first-time adopters.

    The Conceptual Framework provides the basis for consistent and logical formulation of HKFRS. First-time adopters shall apply the Conceptual Framework in resolving accounting issues not specifically addressed in HKFRS.
