Objective and Scope (Paragraphs 1โ6)
Core Objective
HKFRS 12 requires an entity to disclose information that enables users to evaluate the nature of, and risks associated with, its interests in other entities, and the effects of those interests on its financial position, performance, and cash flows.
Entities Within Scope
The standard applies to interests in:
- Subsidiaries
- Joint arrangements (joint operations or joint ventures)
- Associates
- Unconsolidated structured entities
Entities Outside Scope
HKFRS 12 does NOT apply to:
- Post-employment benefit plans under HKAS 19
- An entity's separate financial statements under HKAS 27 (with exceptions for unconsolidated structured entities and investment entities)
- Interests held by a participant that does not have joint control, unless it results in significant influence or is in a structured entity
- Interests accounted for under HKFRS 9 (with exceptions for associates/joint ventures at fair value through profit or loss and unconsolidated structured entities)
Level of Detail and Aggregation
An entity shall consider the level of detail necessary and whether to aggregate or disaggregate disclosures. Useful information must not be obscured by excessive detail or inappropriate aggregation.
Significant Judgements and Assumptions (Paragraphs 7โ9)
Disclosure Requirement
An entity shall disclose information about significant judgements and assumptions made (and changes to them) in determining:
- That it has control of another entity
- That it has joint control of an arrangement or significant influence over another entity
- The type of joint arrangement (joint operation or joint venture) when structured through a separate vehicle

Investment Entity Status (Paragraphs 9Aโ9B)
Determination of Investment Entity Status
When a parent determines it is an investment entity, it shall disclose:
- Significant judgements and assumptions made in that determination
- If it lacks one or more typical characteristics, the reasons for concluding it is still an investment entity
Changes in Investment Entity Status
When an entity becomes or ceases to be an investment entity, it shall disclose:
- The change of status and the reasons for the change
Additionally, an entity that becomes an investment entity shall disclose the effect on the financial statements, including:

Overall Disclosure Objective
An entity shall disclose information that enables users to understand the composition of the group and the interest of non-controlling interests (NCI), and to evaluate restrictions, risks from consolidated structured entities, and consequences of changes in ownership.
Non-Controlling Interests (NCI)
For each subsidiary with material NCI, disclose:

Significant Restrictions

Risks from Consolidated Structured Entities
Disclose contractual arrangements that could require financial support, any non-contractual support provided, and current intentions to provide support.
Changes in Ownership
Present a schedule showing effects on equity attributable to owners of the parent for changes that do not result in loss of control. For loss of control, disclose the gain or loss and the portion attributable to measuring any retained investment at fair value.
Unconsolidated Subsidiaries (Investment Entities) (Paragraphs 19Aโ19G)
Disclosure of Exception to Consolidation
An investment entity that applies the exception to consolidation and accounts for its investment in a subsidiary at fair value through profit or loss shall disclose that fact.
Information About Unconsolidated Subsidiaries
For each unconsolidated subsidiary, disclose:
- Name
- Principal place of business (and country of incorporation if different)
- Proportion of ownership interest held (and voting rights if different)
Parent of Another Investment Entity
If an investment entity is the parent of another investment entity, the parent shall also provide the above disclosures for investments controlled by its investment entity subsidiary.
Significant Restrictions and Commitments
Disclose the nature and extent of any significant restrictions on the ability of an unconsolidated subsidiary to transfer funds, and any current commitments or intentions to provide financial or other support.
Non-Contractual Support
If support was provided without a contractual obligation, disclose the type, amount, and reasons. Also disclose terms of contractual arrangements that could require support, and if support resulted in control, explain the relevant factors.
Interests in Joint Arrangements and Associates (Paragraphs 20โ23)
Overall Disclosure Objective
An entity shall disclose information that enables users to evaluate the nature, extent, and financial effects of its interests in joint arrangements and associates, and the nature of and changes in the risks associated with those interests.
Nature, Extent, and Financial Effects
For each material joint arrangement and associate, disclose:

Overall Disclosure Objective
An entity shall disclose information that enables users to understand the nature and extent of its interests in unconsolidated structured entities, and to evaluate the nature of and changes in the risks associated with those interests.
Nature of Interests
Disclose qualitative and quantitative information, including the nature, purpose, size, and activities of the structured entity, and how it is financed.
Sponsored Structured Entities
If an entity has sponsored an unconsolidated structured entity, disclose:
- How it determined which structured entities it has sponsored
- Income from those entities during the period
- Carrying amount of assets transferred to those entities during the period

Aggregation levels may be based on nature of activities, industry, or geography.
Summarised Financial Information
For subsidiaries with material NCI, disclose summarised financial information (assets, liabilities, profit or loss, cash flows) before inter-company eliminations. For material joint ventures and associates, disclose similar information, with additional details for joint ventures (e.g., cash, financial liabilities, depreciation, interest, tax).
Commitments for Joint Ventures
Disclose total commitments made but not recognised at the reporting date, including those that may give rise to a future outflow of cash or other resources.
Structured Entity Features
Structured entities often have restricted activities, a narrow objective, insufficient equity, or financing through multiple contractually linked instruments. Examples include securitisation vehicles, asset-backed financings, and some investment funds.
